§ 55A‑2‑03. Incorporation.

(a)        Unless a delayedeffective date is specified, the corporate existence begins when the articlesof incorporation are filed.

(b)        The Secretary ofState's filing of the articles of incorporation is conclusive proof that theincorporators satisfied all conditions precedent to incorporation except in aproceeding by the State to cancel or revoke the incorporation or involuntarilydissolve the corporation.
