§ 57C‑10‑01. Execution by judicial act.

Any person who is adverselyaffected by the failure or refusal of any person to execute and file anyarticles or other document to be filed under this Chapter may petition thesuperior court in the county where the limited liability company's principaloffice (or, if none in this State, its registered office) is or was lastlocated or, if there is no such office, in the County of Wake, to direct theexecution and filing of the articles or other document.  If the court findsthat it is proper for the articles or the document to be executed and filed andthat there has been failure or refusal to execute and file the document, itshall order the Secretary of State to file the appropriate articles or otherdocument. (1993, c. 354, s. 1.)
