§59‑205.  Execution by judicial act.

If a person fails or refusesto execute a certificate pursuant to G.S. 59‑204, any other person who isadversely affected by the failure or refusal, may petition the court for thecounty in which the partnership's registered office is located to direct theexecution of the certificate. If the court finds that it is proper for thecertificate to be executed and that any person so designated has failed orrefused to execute the certificate, it shall order an appropriate person toprepare, and the Secretary of State to record, an appropriate certificate.
