§ 59B‑11.  Appointmentof agent to receive service of process.

(a)        A nonprofitassociation may file in the office of the Secretary of State a statementappointing an agent authorized to receive service of process, notice, or demandrequired or permitted by law to be served on a nonprofit association.

(b)        A statementappointing an agent must set forth all of the following:

(1)        The name of thenonprofit association.

(2)        Reserved for futurecodification purposes.

(3)        The street address,and the mailing address if different from the street address, of the nonprofitassociation, and the county in which it is located, or, if the nonprofitassociation does not have an address in this State, its address out‑of‑state.

(4)        The name of theperson in this State authorized to receive service of process and the person'saddress, including the street address, in this State.

(c)        A statementappointing an agent must be signed and acknowledged by a person authorized tomanage the affairs of a nonprofit association. The statement must also besigned and acknowledged by the person appointed agent, who thereby accepts theappointment. The appointed agent may resign by filing a resignation in theoffice of the Secretary of State and giving written notice to the nonprofitassociation at its last known address.

(d)        The sole duty ofthe appointed agent to the nonprofit association is to forward to the nonprofitassociation at its last known address any notice, process, or demand that isserved on the appointed agent.

(e)        The Secretary ofState is not an agent for service of any process, notice, or demand on anynonprofit association.

(f)         The Secretary ofState shall collect the following fees when the documents described in thissubsection are delivered to the Secretary of State for filing:
