Chapter 24.--DRAINAGE AND LEVEES
Article 12.--WATERSHED DISTRICTS

      24-1211.   Election of directors at annual meeting; report of financialcondition, projects and activities; notice and conduct of elections; vacancies;changes in number of directors or date of annual meeting; notice;procedure.In not less than 12 months, nor more than 13 monthsafter the recording of the certificates of incorporation, and annuallythereafter, a meeting shall be held for the election of directors whoseterms expire and also to render a report on the financial condition andactivities of the district including the estimated construction date ofall proposed projects to be initiated within the next five years and theboard's determination as to whether each of these projects is still costeffective and in the current public interest. Notice of theannual meeting shall be given atleast 10 days prior to the date thereof by one publication in anewspaper of general circulation in each of the counties of which saidwatershed district is a part. Elections shall be by ballot. Qualifiedvoters in attendance shall be entitled to vote at any such meeting. Thedirectors shallfill any vacancy occurring on the board prior to the expiration of the termof any director by electing a substitute director to serve for theunexpired term.

      The number of directors of a district or the date of the annual meeting,or both, may be changed at an annual meeting if notice of the propositionof making such change or changes is given at the annual meeting immediatelypreceding the annual meeting at which such change or changes areconsidered. If the number of directors is proposed tobe changed, the proposition shall be introduced in the same manner as otheritems of business and shall clearly show the changes in representation ofsubwatersheds, if any, and in the length of terms of the directors. Itshall be the duty of the board of directors to include the proposition inthe notice of the annual meeting at which such changes are beingconsidered. If a majority of those voting are favorable, the election ofdirectors shall be in conformance with the adopted proposal and all powersshall be exercised by the newly constituted board beginning immediatelyafter the annual meeting. Copies of the minutes of theannual meeting and report on the financial condition and activities of thedistrict shall be furnished to the state conservation commission.
