21-2642. Foreign limited liability company; withdrawal.The original and a duplicate original of an application for withdrawal of a foreign limited liability company shall be delivered to the Secretary of State. If the Secretary of State finds that such application conforms to the provisions of the Limited Liability Company Act, he or she shall, when all fees and taxes have been paid:(1) Endorse on the original and the duplicate original the word filed and the month, day, and year of the filing thereof;(2) File the original in his or her office; and(3) Issue a certificate of withdrawal to which he or she shall affix the duplicate original.The certificate of withdrawal, together with the duplicate original of the application for withdrawal affixed thereto by the Secretary of State, shall be returned to the foreign limited liability company or its representative. Upon the issuance of such certificate of withdrawal, the authority of the foreign limited liability company to transact business in this state shall cease. SourceLaws 1993, LB 121, § 42.
