§ 55D‑14.  Correctingfiled document.

(a)        A person on whosebehalf a document was filed in the Office of the Secretary of State may correctthat document if it (i) contains a statement that is incorrect and wasincorrect when filed or (ii) was defectively executed, attested, sealed,verified, or acknowledged.

(b)        A document iscorrected by delivering to the Secretary of State for filing articles ofcorrection that do all of the following:

(1)        Describe thedocument (including its filing date) or have attached to them a copy of thedocument.

(2)        Specify theincorrect statement and the reason it is incorrect or the nature of the defect.

(3)        Correct theincorrect statement or defect.

(c)        Articles ofcorrection are effective as of the effective time and date of the document theycorrect except as to persons relying on the uncorrected document and adverselyaffected by the correction.
