Article 4.

Registered Office andRegistered Agent.

§ 55D‑30.  Registeredoffice and registered agent required.

(a)        Each domesticcorporation, nonprofit corporation, limited liability company, limitedpartnership, and limited liability partnership, each foreign limited liabilitypartnership maintaining a statement of foreign registration, and each foreigncorporation, nonprofit corporation, limited liability company, and limitedpartnership authorized to transact business or conduct affairs in this State mustcontinuously maintain in this State:

(1)        A registered officethat may be the same as any of its places of business or any place where itconducts affairs; and

(2)        A registered agent,who must be:

a.         An individual whoresides in this State and whose business office is identical with theregistered office;

b.         A domesticcorporation, nonprofit corporation, or limited liability company whose businessoffice is identical with the registered office; or

c.         A foreigncorporation, foreign nonprofit corporation, or foreign limited liabilitycompany authorized to transact business or conduct affairs in this State whosebusiness office is identical with the registered office.

(b)        The sole duty ofthe registered agent to the entity is to forward to the entity at its lastknown address any notice, process, or demand that is served on the registeredagent.
