§ 57C‑6‑06. Articles of dissolution.

Upon the dissolution and thecommencement of winding up of the limited liability company, articles ofdissolution shall be filed in the Office of the Secretary of State and shallset forth:

(1)        The name of thelimited liability company;

(2)        The dates of filingof its articles of organization and all amendments thereto;

(3)        The reason forfiling the articles of dissolution;

(4)        The effective date(which shall be a date certain) of the dissolution, as determined in accordancewith G.S. 57C‑6‑01; and

(5)        Any otherinformation the managers filing the articles of dissolution determine. (1993, c. 354, s. 1; 2001‑387,s. 76.)
