§59‑602.  Withdrawal of general partner.

After filing of the originalcertificate of limited partnership, a general partner may withdraw from alimited partnership at any time by giving written notice to the other partners,but if the withdrawal violates the partnership agreement, the limitedpartnership may recover from the withdrawing general partner, in addition toits other remedies, any damages for breach of the partnership agreement and mayoffset the damages against the amount otherwise distributable or payable to thepartner.
