Article2.

Fraudulent and OtherProhibited Practices.

§ 78A‑8.  Sales andpurchases.

It is unlawful for any person,in connection with the offer, sale or purchase of any security, directly orindirectly:

(1)        To employ anydevice, scheme, or artifice to defraud,

(2)        To make any untruestatement of a material fact or to omit to state a material fact necessary inorder to make the statements made, in the light of the circumstances underwhich they are made, not misleading or,

(3)        To engage in anyact, practice, or course of business which operates or would operate as a fraudor deceit upon any person. (1973, c. 1380.)
