§55A‑8‑43.  Resignation and removal of officers.

(a)        An officer mayresign at any time by communicating his resignation to the corporation.  Aresignation is effective when it is communicated unless it specifies in writinga later effective date.  If a resignation is made effective at a later date andthe corporation accepts the future effective date, its board of directors mayfill the pending vacancy before the effective date if the board of directorsprovides that the successor does not take office until the effective date.

(b)        A board ofdirectors may remove any officer at any time with or without cause. (1955,c. 1230; 1993, c. 398, s. 1.)
