§ 57C‑3‑21. Qualification, designation, and removal of managers.

Subject to G.S. 57C‑3‑20(a),the articles of organization or a written operating agreement may set forth thenumber and qualification of managers and the manner in which they are to bedesignated, removed, and replaced. Unless otherwise provided in the articles oforganization, a written operating agreement, or this Chapter:

(1)        Managers need not bemembers and, unless otherwise required by G.S. 57C‑3‑20(a), membersneed not be managers;

(2)        Designation ofmanagers (other than those managers who are such by virtue of their status asmembers) shall be evidenced in a written operating agreement, as amended fromtime to time;

(3)        Upon designation asmanager and the person's consent to such designation, the designated personshall serve as manager until the earliest to occur of (i) the person'sresignation, (ii) any event described in G.S. 57C‑3‑02 with respectto the manager, (iii) any event specified in the articles of organization orwritten operating agreement that results in a manager ceasing to be a manager,or (iv) in the case of a person designated as a manager in a written operatingagreement, the amendment of the written operating agreement removing theperson's designation as a manager.
