29-614. Certificate of good standing


A. A person may apply to the commission to furnish a certificate of good standing
for a domestic or foreign limited liability company.


B. A certificate of good standing shall set forth all of the following:


1. The domestic limited liability company's name or the foreign limited liability
company's name used in this state.


2. That either:


(a) The domestic limited liability company is organized under the laws of this
state and the date of its organization.


(b) The foreign limited liability company is authorized to transact business in
this state.


3. The limited liability company is in good standing in this state according to the
records of the commission.


C. Subject to any qualification stated in the certificate, a certificate of good
standing issued by the commission may be relied on as conclusive evidence of the matters
stated in the certificate.
