§428-109  Resignation of registered agent.  [Sectioneffective until June 30, 2010.  For section effective July 1, 2010, seebelow.]  (a)  A registered agent of a domestic or foreign limited liabilitycompany may resign from the registered agent's appointment by signing anddelivering to the director for filing the signed statement of resignation.  Thestatement may include a statement that the registered office is alsodiscontinued.

(b)  The registered agent shall mail one copyto the registered office (if not discontinued) and the other copy to thecompany at its principal office.

(c)  The appointment of the agent isterminated, and the registered office discontinued if so provided, on thethirty-first day after the date on which the statement was filed. [L 1996, c92, pt of §1; am L 2002, c 130, §103; am L 2003, c 124, §71]
