§428-204.5  Amended and restated articles oforganization.  (a)  A limited liability company may at any time amend andrestate its articles of organization by complying with the procedures andrequirements of sections 428-204 and 428-204.6.

(b)  Upon its adoption, the amended andrestated articles of organization shall set forth:

(1)  All of the operative provisions of the articlesof organization as therefore amended;

(2)  The information required by section 428-204; and

(3)  A statement that the amended and restatedarticles of organization supersede the original articles of organization andall amendments thereto.

(c)  The amended and restated articles oforganization shall be delivered to the director for filing.  The director maycertify the amended and restated articles of organization as the articles oforganization currently in effect, without including the information required tobe filed by subsection (b)(2) and (3).
