[§428-204.6]  Restated articles oforganization.  (a)  A limited liability company may at any time restate itsarticles of organization as amended.

(b)  The restated articles of organizationshall set forth all of the operative provisions of the articles of organizationas amended, together with a statement that the restated articles oforganization correctly set forth without change the corresponding provisions ofthe articles of organization as amended, and that the restated articles oforganization supersede the original articles of organization and all amendmentsthereto.

(c)  The restated articles of organizationshall be delivered to the director for filing.  The director may certify therestated articles of organization currently in effect, without including theinformation required to be filed by subsection (b). [L 2000, c 219, §1]
