[§428-302]  Limited liability company liablefor member's or manager's actionable conduct.  A limited liability companyshall be liable for loss or injury caused to any person, or for a penaltyincurred, as a result of a wrongful act or omission or other actionable conductof a member or manager acting in the ordinary course of business of the companyor with authority of the company.
