§414D-106 - Waiver of notice.
[§414D-106] Waiver of notice. (a) A member may waive any notice required by this chapter, thearticles, or the bylaws before or after the date and time stated in thenotice. The waiver shall be in writing, be signed by the member entitled tothe notice, and be delivered to the corporation for inclusion in the minutes orfiling with the corporate records.
(b) A member's attendance at a meeting:
(1) Waives objection to lack of notice or defectivenotice of the meeting, unless the member at the beginning of the meetingobjects to holding the meeting or transacting business at the meeting; and
(2) Waives objection to consideration of a particularmatter at the meeting that is not within the purpose or purposes described inthe meeting notice, unless the member objects to considering the matter when itis presented. [L 2001, c 105, pt of §1]
