§414D-153  Required officers.  (a)  Acorporation shall have the officers described in its bylaws or appointed by theboard of directors in accordance with the bylaws.

(b)  The bylaws or the board shall delegateresponsibility to one of the officers to prepare minutes of the directors' andmembers' meetings and to authenticate records of the corporation.

(c)  The same individual may simultaneouslyhold more than one office in a corporation.

(d)  Officers of the corporation shall beelected or appointed at such time and in such manner and for such terms as maybe prescribed in the articles of incorporation or the bylaws.  In the absenceof any such provision, all officers shall be elected or appointed for a termnot to exceed one year by the board of directors.
