§414D-156  Resignation and removal ofofficers.  (a)  An officer may resign at any time by delivering notice tothe corporation.  A resignation is effective when the notice is effectiveunless the notice specifies a future effective date.  If a resignation is madeeffective at a future date and the corporation accepts the future effectivedate, its board of directors may fill the pending vacancy before the effectivedate if the board provides that the successor does not take office until theeffective date.

(b)  Except as otherwise provided in thearticles of incorporation or bylaws, a board may remove any officer at any timewith or without cause. [L 2001, c 105, pt of §1; am L 2002, c 130, §55]
