§414D-278  Change of registered office orregistered agent of foreign corporation.  [Section effective until June30, 2010.  For section effective July 1, 2010, see below.]  (a)  A foreigncorporation authorized to transact business in this State may change itsregistered office or its registered agent by delivering to the departmentdirector for filing a statement of change that sets forth:

(1)  The corporation's name;

(2)  The street address of its current registeredoffice, the name of its current registered agent at its registered office, andany changes required to keep the information current; and

(3)  That after the change or changes are made, thestreet addresses of its registered office and the office of its registeredagent shall be identical.

(b)  If a registered agent changes the streetaddress of its business office, the agent may change the address of theregistered office of any foreign corporation for which the agent is theregistered agent by notifying the corporation in writing of the change andsigning (either manually or in facsimile) and delivering to the departmentdirector for filing a statement of change that complies with the requirementsof subsection (a) and recites that the corporation has been notified of thechange.
