§414D-8  Filing duty of the departmentdirector.  (a)  If a document delivered to the office of the departmentdirector for filing satisfies the requirements of section 414D‑3, thedepartment director shall file it.

(b)  The department director files a documentby stamping or otherwise endorsing it with the date and the time of receipt.

(c)  If the department director refuses to filea document, the department director shall return it to the domestic or foreigncorporation or its designated representative, together with a brief, writtenexplanation of the reason or reasons for the refusal.

(d)  The department director's duty tofile documents under this section is ministerial.  The department director'sfiling or refusal to file a document does not:

(1)  Affect the validity or invalidity of the documentin whole or in part;

(2)  Relate to the correctness or incorrectness ofinformation contained in the document; or

(3)  Create a presumption that the document is validor invalid or that information contained in the document is correct orincorrect. [L 2001, c 105, pt of §1; am L 2003, c 124, §22]
