[§414D-87] Creditor's action againstmember. (a) No action may be brought by a creditor to reach theliability, if any, of a member to the corporation unless final judgment hasbeen rendered in favor of the creditor against the corporation, and executionhas been returned unsatisfied in whole or in part or unless such action wouldbe useless.
(b) All creditors of the corporation, with orwithout reducing their claims to judgment, may intervene in any creditor'saction brought under subsection (a) to reach and apply unpaid amounts due thecorporation. Any or all members who owe amounts to the corporation may bejoined in the action. [L 2001, c 105, pt of §1]
