[§414D-91]  Delegates.  (a)  Acorporation may provide in its articles or bylaws for delegates having some orall of the authority of members.

(b)  The articles or bylaws may set forthprovisions relating to:

(1)  The characteristics, qualifications, rights,limitations, and obligations of delegates including their selection andremoval;

(2)  Calling, noticing, holding, and conductingmeetings of delegates; and

(3)  Carrying on corporate activities during andbetween meetings of delegates. [L 2001, c 105, pt of §1]
