§414-214  Waiver of notice of meeting. (a)  A director may waive any notice required by this chapter, the articles ofincorporation, or bylaws before or after the date and time stated in thenotice.  Except as provided by subsection (b), the waiver shall be in writing,signed by the director entitled to the notice or by electronic transmission bythe director entitled to notice, and filed with the minutes or corporaterecords.

(b)  A director's attendance at orparticipation in a meeting waives any required notice to the director of themeeting unless the director at the beginning of the meeting (or promptly uponthe director's arrival) objects to holding the meeting or transacting businessat the meeting and does not thereafter vote for or assent to action taken atthe meeting.
