[§414-243]  Mandatory indemnification. A corporation shall indemnify a director who was wholly successful, on themerits or otherwise, in the defense of any proceeding to which the director wasa party because the director was a director of the corporation againstreasonable expenses incurred by the director in connection with the proceeding.[L 2000, c 244, pt of §1]
