A.  Amendmentof Articles of Incorporation

 

[§414-281]  Authority to amend.  (a)  Acorporation may amend its articles of incorporation at any time to add orchange a provision that is required or permitted in the articles ofincorporation or to delete a provision not required in the articles ofincorporation.  Whether a provision is required or permitted in the articles ofincorporation is determined as of the effective date of the amendment.

(b)  A shareholder of the corporation does nothave a vested property right resulting from any provision in the articles ofincorporation, including provisions relating to management, control, capitalstructure, dividend, entitlement, or purpose or duration of the corporation. [L2000, c 244, pt of §1]
