[§414-36]  Bylaws.  (a)  Theincorporators or board of directors of a corporation shall adopt initial bylawsfor the corporation.

(b)  The bylaws of a corporation may containany provision for managing the business and regulating the affairs of the corporationthat is not inconsistent with law or the articles of incorporation. [L 2000, c244, pt of §1]
