§414-438  Change of registered office or registeredagent of foreign corporation.  [Section effective until June 30, 2010. For section effective July 1, 2010, see below.] (a)  A foreigncorporation authorized to transact business in this State may change itsregistered office or its registered agent by delivering to the departmentdirector for filing a statement of change that sets forth:

(1)  Its name;

(2)  The street address of its current registeredoffice, the name of its current registered agent at its registered office, andany changes required to keep the information current; and

(3)  That after the change or changes are made, thestreet addresses of its registered office and the business office of itsregistered agent shall be identical.

(b)  If a registered agent changes the streetaddress of the agent's business office, the agent may change the street addressof the registered office of any foreign corporation for which the agent is theregistered agent by notifying the corporation in writing of the change andsigning (either manually or in facsimile) and delivering to the departmentdirector for filing a statement of change that complies with the requirementsof subsection (a) and recites that the corporation has been notified of thechange. §414-438  Change of registered agent of foreigncorporation.  [Section effective July 1, 2010.  For section effectiveuntil June 30, 2010, see above.]  (a)  A foreign corporation authorized totransact business in this State may change its registered agent by complyingwith the requirements of section 425R-7.

(b)  If a registered agent changes its name,its address, or its type or jurisdiction of organization, the agent shallcomply with the requirements of section 425R-8 or 425R-9, whichever isapplicable. [L 2000, c 244, pt of §1; am L 2002, c 130, §31; am L 2009, c 55,§14]
