§414-62  Designation or change of registeredoffice or registered agent.  [Section effective until June 30, 2010. For section effective July 1, 2010, see below.]  (a)  A corporation thatdoes not already have a registered office and registered agent shall designateits registered office and registered agent by delivering to the departmentdirector for filing a statement of designation that sets forth:

(1)  The name of the corporation;

(2)  The street address of its initial registeredoffice in this State and the name of its initial registered agent at itsinitial registered office; and

(3)  That the street addresses of its registeredoffice and agent shall be identical.

(b)  A corporation may change its registeredoffice or its registered agent by delivering to the department director forfiling a statement of change that sets forth:

(1)  The name of the corporation;

(2)  The street address of its current registeredoffice, the name of its current registered agent at its registered office, andany changes required to keep the information current; and

(3)  That after the change or changes are made, thestreet addresses of its registered office and agent shall be identical.

(c)  If the registered agent's street addresschanges, the registered agent may change the street address of thecorporation's registered office by notifying the corporation in writing of thechange and signing (either manually or in facsimile) and delivering to thedepartment director for filing a statement that complies with the requirementsof subsection (a) and recites that the corporation has been notified of thechange. (b)  A corporation may change its registeredagent by complying with section 425R-7.
