§415A-28  Application to existingcorporations.  (a)  This chapter shall apply to all existing professionalcorporations organized under any general act of this State which is repealed bythis chapter.

(b)  Any corporation organized under any act ofthis State which is not repealed hereby may become subject to the provisions ofthis chapter by delivering to the director duly executed articles of amendmentstating that the corporation elects to become subject to this chapter andcontaining the amendment of its corporate name or purposes as may be requiredto comply with this chapter.

(c)  This chapter shall not apply to anycorporation now in existence or hereafter organized under any act of this Statewhich is not repealed hereby unless the corporation voluntarily becomes subjectto this chapter as provided in this chapter, and nothing contained in thischapter shall alter or affect any existing or future right or privilegepermitting or not prohibiting performance of professional services through the useof any other form of business organization.  Nothing in this chapter shallaffect the validity of any action taken by any corporation, or shall impair oraffect the validity of any provision of the articles of incorporation or bylawsadopted by any corporation prior to July 1, 1987.
