ยง424-1ย  General provisions.ย  A nonprofitoptometric service corporation may be formed for the purposes of contractingwith individuals and corporations, both public and private, for defraying orassuming the costs of services of optometrists, and the contracting on behalfof optometrists to furnish such services.ย  The director of commerce andconsumer affairs shall grant to applicants who file articles of incorporationin conformity with section 414D-32 a charter of incorporation for theestablishment and conduct of an optometric service corporation; provided thatthe corporation may not engage directly or indirectly in the performance of thecorporate purposes or objects unless all of the following requirements are met:

(1)ย  At least twenty-five per cent of all licensedoptometrists in this State have become members of the corporation;

(2)ย  Membership in the corporation and an opportunityto render professional services upon a uniform basis are available to alllicensed optometrists in this State;

(3)ย  Voting by proxy and cumulative voting areprohibited; and

(4)ย  A certificate of compliance with the requirementsof paragraphs (1), (2), and (3) has been issued to the corporation by the boardof examiners in optometry.
