[§425E-104]  Nature, purpose, andduration of entity.  (a)  A limited partnership is an entitydistinct from its partners.  A limited partnership is the same entityregardless of whether its certificate states that the limited partnership is alimited liability limited partnership.

(b)  A limited partnership may be organizedunder this chapter for any lawful purpose.
