§425E-115  Designation or change ofregistered office or registered agent.  [Section effective until June30, 2010.  For section effective July 1, 2010, see below.]  (a)  A domesticlimited partnership or foreign limited partnership that does not already have aregistered office and registered agent shall designate its registered officeand registered agent by delivering to the director for filing, a statement ofdesignation that sets forth:

(1)  The name of the limited partnership;

(2)  The street address of its initial registeredoffice in this State and the name of its initial registered agent at itsinitial registered office; and

(3)  That the street addresses of its initialregistered office and agent shall be identical.

(b)  A domestic or foreign limited partnershipmay change its registered office or its registered agent by delivering to thedirector for filing, a statement of change that sets forth:

(1)  The name of the limited partnership;

(2)  The street address of its current registeredoffice, the name of its current registered agent at its registered office, andany changes required to keep the information current; and

(3)  That after the change or changes are made, thestreet addresses of its registered office and agent shall be identical.

(c)  If the registered agent's street addresschanges, the registered agent may change the street address of the limitedpartnership's registered office by notifying the limited partnership in writingof the change and signing (either manually or in facsimile) and delivering tothe director for filing, a statement that complies with the requirements ofsubsection (a) and recites that the limited partnership has been notified ofthe change. (b)  A domestic or foreign limited partnershipmay change its registered agent by complying with the requirements of section425R-7.
