[§425E-303]  Liability as a limitedpartner.  An obligation of a limited partnership, whether arisingin contract, tort, or otherwise, shall not be the obligation of a limitedpartner.  A limited partner shall not be personally liable, directly orindirectly, by way of contribution or otherwise, for an obligation of thelimited partnership solely by reason of being a limited partner, even if thelimited partner participates in the management and control of the limitedpartnership.
