[§425-157]  Law governing foreign limitedliability partnership.  (a)  The law under which a foreign limitedliability partnership is formed shall govern relations among the partners,between the partners and the partnership, and the liability of partners forobligations of the partnership.

(b)  A statement of foreign qualification shallnot be construed to authorize a foreign limited liability partnership to engagein any business or exercise any power prohibited to a limited liabilitypartnership in this State. [L 2000, c 218, pt of §1]
