§425-19  Designation or change of registered office orregistered agent.  [Section effective until June 30, 2010.  For sectioneffective July 1, 2010, see below.]  (a)  A partnership that does notalready have a registered office and registered agent shall designate itsregistered office and registered agent by delivering to the director ofcommerce and consumer affairs for filing, a statement of designation that setsforth:

(1)  The name of the partnership;

(2)  The street address of its initial registeredoffice in the State and the name of its initial registered agent at its initialregistered office; and

(3)  That the street addresses of its initialregistered office and agent shall be identical.

(b)  A partnership may change its registeredoffice or its registered agent by delivering to the director of commerce andconsumer affairs for filing, a statement of change that sets forth:

(1)  The name of the partnership;

(2)  The street address of its current registeredoffice, the name of its current registered agent at its registered office, andany changes required to keep the information current; and

(3)  That after the change or changes are made, thestreet addresses of its registered office and agent shall be identical.

(c)  If the registered agent's street addresschanges, the registered agent may change the street address of thepartnership's registered office by notifying the partnership in writing of thechange and signing (either manually or in facsimile) and delivering to thedirector of commerce and consumer affairs for filing, a statement that complieswith the requirements of subsection (a) and recites that the partnership hasbeen notified of the change. §425-19  Designation or change of registered agent. [Section effective July 1, 2010.  For section effective until June 30, 2010,see above.]  (a)  A partnership that does not already have a registeredagent shall designate its registered agent by complying with the requirementsof section 425R-4.

(b)  A partnership may change its registeredagent by complying with the requirements of section 425R-7.

(c)  If the registered agent changes its name,its address, or its type or jurisdiction of organization, the agent shallcomply with the requirements of section 425R-8 or 425R-9, whichever isapplicable. [L 2002, c 130, pt of §5; am L 2009, c 55, §33]
