§431:4-213  Exempt equity securities. Section 431:4-208 to section 431:4-210 shall not apply to equity securities ofa domestic stock insurance company (1) if the equity securities of such companyhave been registered with the United States Securities and Exchange Commissionunder section 12 of the Securities Exchange Act of 1934, as amended, (2) if theequity securities of the company are required to be registered with the UnitedStates Securities and Exchange Commissioner under section 12 of the SecuritiesExchange Act of 1934, as amended, or (3) if the domestic stock insurancecompany shall not have any class of its equity securities held of record by onehundred persons on the last business day of the year next preceding the year inwhich equity securities of the company would be subject to section 431:4-208 tosection 431:4-210 except for item (3).
