[§431:4-246]  Solicitation prior tofurnishing required written proxy statement; filing requirements.  Twocopies of any soliciting material proposed to be sent or given to stockholdersprior to the furnishing of the written proxy statement required by section431:4-238(a) shall be filed with the commissioner in preliminary form at leastfive business days prior to the date final form copies of the material arefirst sent or given to the stockholders, or a shorter period as thecommissioner may authorize upon a showing of good cause therefor.
