§431:4-312  Members proxies.  (a)  Amember of a domestic mutual insurer may vote in person or by proxy givenanother member on any matter coming before a corporate meeting of members.

(b)  No proxy shall be valid beyond the earlierof the following dates:

(1)  The date of expiration set forth in the proxy;

(2)  The date of termination of membership; or

(3)  Five years from the date of execution of theproxy.

(c)  No member's vote upon any proposal todivest the insurer of its business and assets, or the major part thereof, shallbe registered or taken except in person or by a proxy newly executed andspecific as to the matter to be voted upon. [L 1987, c 347, pt of §2]
