Article 77.--MERGER OR CONSOLIDATION; CONSTITUENT ENTITY
17-7702.Definitions.
As used in K.S.A. 17-7701 through 17-7708, the following terms mean:
(a) "Constituent entity" means each person that is a party to a merger or
consolidation subject to K.S.A. 17-7701 through 17-7708.
(b) "New entity" means the person into which constituent entities
consolidate, as identified in the agreement of consolidation or certificate of
consolidation provided for in K.S.A. 17-7701 through 17-7708.
(c) "Organizational document" means, with respect to a corporation, its
articles of incorporation or their equivalent, with respect to a limited
partnership, its certificate of limited partnership or its equivalent, with
respect to a limited liability company, its articles of organization or their
equivalent,
and with respect to any other type of person, the documents, if any, necessary
to form and organize such person under the laws of the jurisdiction under which
such person was or is formed and organized.
(d) "Person" means a domestic or foreign general partnership, limited
partnership, limited liability company, corporation, trust, business trust,
real estate investment trust and other association or business entity.
(e) "Surviving entity" means the constituent entity surviving a merger, as
identified in the agreement of merger or certificate of merger provided for in
K.S.A. 17-7701 through 17-7708.

17-7702.Definitions.
As used in K.S.A. 17-7701 through 17-7708, the following terms mean:
