Chapter 40.--INSURANCE
Article 7.--FRATERNAL BENEFIT SOCIETIES

      40-765.   Amendment of domestic society's laws; procedures; approval bycommissioner; amendments or synopsis thereof to be furnished to members;amendments and additions to be furnished to commissioner; printed copiesprima facie evidence of legal adoption.(a) A domestic society may amend its laws in accordance withthe provisions thereof by action of its supreme governing body at anyregular or special meeting thereof or, if its laws so provide, byreferendum. Such referendum may be held in accordance with the provisionsof its laws by the vote of the voting members of the society, by the voteof delegates or representatives of voting members or by the vote of locallodges. A society may provide for voting by mail. No amendment submittedfor adoption by referendum shall be adopted unless, within six months fromthe date of submission thereof, a majority of the members voting shall havesignified their consent to such amendment by one of the methods herein specified.

      (b)   No amendment to the laws of any domestic society shall take effectunless approved by the commissioner of insurance. The commissioner shallapprove such amendment if it has been duly adopted and is not inconsistentwith any requirement of the laws of this state or with the character,objects and purposes of the society. Unless the commissioner shalldisapprove an amendment within 30 days after it is filed, such amendmentshall be considered approved. The approval or disapproval of thecommissioner shall be in writing and mailed to the secretary orcorresponding officer of the society at its principal office. If thecommissioner disapproves such amendment, the reasons therefor shall bestated in such written notice.

      (c)   Within 90 days from the approval thereof by the commissioner, allsuch amendments, or a synopsis thereof, shall be furnished to all membersof the society either by mail or by publication in full in the officialpublication of the society. The affidavit of any officer of the society orof anyone authorized by it to mail any amendments or synopsis thereof,stating facts which show that such amendments or synopsis thereof has beenduly addressed and mailed,shall be prima facie evidence that such amendments or synopsis thereof havebeen furnished the addressee.

      (d)   Every foreign or alien society authorized to do business in thisstate shall file with the commissioner of insurance a duly certified copyof all amendments of or additions to its laws within 60 days after the enactment thereof.

      (e)   Printed copies of the laws as amended, certified by the secretary orcorresponding officer of the society, shall be prima facie evidence of thelegal adoption thereof.
