Powers of board of directors--first meeting--officers--bylaws--timefor meetings.

206.100. 1. The board of directors of a district shallpossess and exercise all of its legislative and executive powers.Within thirty days after the election of the initial directors,the board shall meet. The time and place of the first meeting ofthe board shall be designated by the county commission. At itsfirst meeting the board shall elect a chairman from its membersand select a secretary, treasurer and such officers or employeesas it deems expedient or necessary for the accomplishment of itscorporate objects. The secretary and treasurer need not bemembers of the board. At the meeting the board by ordinanceshall define the first and subsequent fiscal years of thedistrict, and shall adopt a corporate seal and bylaws, whichshall determine the times for the annual election of officers andof other regular and special meetings of the board and shallcontain the rules for the transaction of other business of thedistrict and for amending the bylaws.

2. Each director of any district shall devote such time tothe duties of the office as the faithful discharge thereof mayrequire and shall serve without compensation.
