Excess property, sale of authorized--procedure--proceeds, how used.

206.157. 1. A hospital district may sell and convey property of thedistrict, both real and personal, in the manner provided in subsection 2 ofthis section for real property and in the manner provided in subsection 3of this section for personal property, which is no longer needed by thedistrict to carry out the purposes for which the district was organized,including hospital buildings and grounds which have been adequatelyreplaced by other hospital buildings and grounds, provided that all bondsof the district, whether general obligation bonds constituting a lien onthe property no longer needed, or revenue bonds constituting a lien on therevenue arising from the operation of such property, have been paid infull; or a sum sufficient to pay all of such bonds, together with interestaccrued or to accrue thereon, together with any other items of expenseprovided in such bonds, is deposited with the fiscal agent named in thebonds for the purpose of full payment; or consent in writing is obtainedfrom all of the holders of the bonds.

2. Upon receipt of a request for sale of excess real property, theboard of directors of the hospital district shall review the reasons whythe specified real property is no longer needed by the hospital districtand the manner in which the conditions of the provisions of subsection 1 ofthis section have been satisfied. If the board of directors is satisfiedthat the statements and the reasons are true and valid, it shall adopt aresolution approving the sale or other disposition of the specified realproperty. A certified copy of the board of director's adopted resolutionto sell or otherwise dispose of specified real property of the districtshall be filed with the county clerk of the county in which the originalpetition to organize the district was filed. If the county commission issatisfied that the statements in the resolution are true and valid, itshall by order approve the resolution. The board of directors of thehospital district shall then proceed to sell, convey or otherwise disposeof the specified real property pursuant to the terms of the resolutionadopted by the board of directors. The deed shall be executed under thehand and seal of the secretary of the board of directors of the hospitaldistrict for and on behalf of the hospital district and shall be sufficientto convey to purchaser or other recipient all the right, title, interestand estate which the hospital district has in the specified real property.

3. Upon receipt of a request for sale of excess personal property,the board of directors of the hospital district shall review the reasonswhy the specified personal property is no longer needed by the hospitaldistrict and the manner in which the conditions of the provisions ofsubsection 1 of this section have been satisfied. If the board ofdirectors is satisfied that the statements and the reasons are true andvalid, it shall adopt a resolution approving the sale or other dispositionof the specified personal property. The board of directors of the hospitaldistrict shall then proceed to sell, convey or otherwise dispose of thespecified personal property pursuant to the terms of the resolution adoptedby the board of directors. Any bill of sale required shall be executedunder the hand and seal of the secretary of the board of directors of thehospital district for and on behalf of the hospital district and shall besufficient to convey to purchaser or other recipient all the right, title,interest and estate which the hospital district has in the specifiedpersonal property.

4. The proceeds from the sale of the real or personal propertyremaining after the expenses of the property have been paid shall be placedin the treasury of the district and used to carry out the purposes forwhich the district was organized.
