Member's grievance, how and where filed--director may investigate,court action not barred.

354.115. Any individual member of a corporation subject tothe provisions of sections 354.010 to 354.380 who believeshimself to be aggrieved by any act or omission of suchcorporation or its officers, directors, or employees may file astatement in writing of his grievance in the office of thedirector, and the director may make such investigation of suchgrievance as he deems appropriate. No such investigation by thedirector shall act as a bar to any suit in a court of competentjurisdiction instituted by any such member, or as a bar to anydefense thereto by the corporation involved.
