Corporate funds and securities use for private gain by officers andemployees prohibited, penalty.

354.320. No officer, enrollment representative or employeeof any corporation subject to the provisions of sections 354.010to 354.380, formed under the laws of this state, or doingbusiness herein, shall, directly or indirectly, use or employ,or permit others to use or employ, any of the money, funds orsecurities of such corporation for private profit or gain,except for reasonable compensation for services performed andreimbursement for expenses incurred, and any such use shall,upon conviction thereof, be a class D felony.
