Creditor action against member.

355.201. 1. No proceeding may be brought by a creditor toreach the liability, if any, of a member to the corporationunless final judgment has been rendered in favor of the creditoragainst the corporation and execution has been returnedunsatisfied in whole or in part, or unless such proceeding wouldbe useless.

2. All creditors of the corporation, with or withoutreducing their claims to judgment, may intervene in anycreditor's proceeding brought under subsection 1 of this sectionto reach and apply unpaid amounts due the corporation. Any orall members who owe amounts to the corporation may be joined insuch proceeding.
