Waiver of notice.

355.256. 1. A member may waive any notice required by thischapter, the articles, or bylaws, before or after the date andtime stated in the notice. The waiver must be in writing, signedby the member entitled to the notice, and delivered to thecorporation for inclusion in the minutes or filing with thecorporate records.

2. A member's attendance at a meeting:

(1) Waives objection to lack of notice or defective noticeof the meeting, unless the member at the beginning of the meetingobjects to holding the meeting or transacting business at themeeting;

(2) Waives objection to consideration of a particularmatter at the meeting that is not within the purpose or purposesdescribed in the meeting notice, unless the member objects toconsidering the matter when it is presented.
