Requirement for, duties of board--name of board, permissiblealternatives.

355.316. 1. Each corporation shall have a board of directors, which mayalso be called a board of trustees, a board of regents or a board ofoverseers.

2. Except as provided in this chapter, all corporate powers shall beexercised by or under the authority of, and the affairs of the corporationmanaged under the direction of, its board.

3. Any corporation established pursuant to this chapter before August28, 1997, may use the term "board of curators" as the name of thenot-for-profit corporation's board of directors.
